Terms of Service

1. Agreement
These Terms of Service ("Agreement") constitute a binding legal agreement between SignalSeal, Inc., a Delaware corporation ("SignalSeal," "we," "us," or "our"), and the entity or individual ("Client," "you," or "your") accessing or using our services.
You accept these terms by registering for an account, integrating our SDK, or using the SignalSeal platform or website. If you are signing on behalf of a company, you represent that you have the authority to bind that organization to this Agreement.
2. Definitions
- Services: The SignalSeal mobile measurement, attribution, and analytics platform, including the dashboard, APIs, and integrations.
- SDK: The SignalSeal Software Development Kit, including code, libraries, and updates.
- Client Data: Information you submit to us or that we collect via the SDK, the dashboard, or connected third-party integrations on your behalf.
- End-User: The final user of a mobile application that incorporates the SDK or is otherwise measured by the Services.
- Media Partner: Third-party advertising networks such as Meta, Google, and TikTok.
- Source of Truth Provider: Third-party subscription or analytics platforms such as RevenueCat or SuperWall from which Client authorizes us to read subscription events.
3. License & Access
Subject to this Agreement, SignalSeal grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Dashboard and Services for your internal business analytics.
The SDK license grants you the ability to download, install, and integrate the SignalSeal SDK into your Mobile Applications solely for the purpose of using the Services.
Prohibited Activities. You may not:
- Reverse engineer, decompile, or disassemble the SDK or Services.
- Resell, sublicense, or distribute the Services (white-labeling requires a separate written agreement).
- Build a competitive product using the Services.
- Submit sensitive personal data (health, financial, government identifiers) or COPPA-protected children's data without our prior written authorization.
4. Data Ownership & Use
As between the parties, you own all rights, title, and interest in your Client Data. You are the Data Controller.
You grant SignalSeal a worldwide, royalty-free license to host, copy, transmit, and display Client Data as necessary to provide the Services, including forwarding conversion events to Media Partners you have configured.
SignalSeal may use Client Data in an anonymized and aggregated format (where you and your End-Users are not identifiable) to improve our models, detect fraud, and generate industry benchmarks.
5. Client Obligations & Compliance
You must ensure your use of the Services complies with all applicable privacy laws (e.g. GDPR, CCPA) and platform policies (e.g. Apple App Store Review Guidelines, Google Play Policy).
You represent and warrant that you have obtained all necessary consents and provided all necessary notices to End-Users to allow SignalSeal to collect and process their device and subscription data for attribution and analytics, and to forward conversion events to Media Partners.
If you provide Media Partner or Source of Truth Provider credentials, you represent that you have the authority to grant such access. SignalSeal assumes no responsibility for API changes, deprecations, or reporting standard modifications made by those partners.
6. Fees & Payment
Fees are set forth on our pricing page or in a specific order form executed by you. Unless otherwise stated, fees are billed in advance.
If your usage exceeds your subscription tier limits, SignalSeal reserves the right to charge overage fees at our standard rates or upgrade you to the next tier.
All fees are exclusive of taxes. You are responsible for all sales, use, and value-added taxes associated with your purchase.
7. Service Availability & Support
We will use commercially reasonable efforts to ensure the Services are available 24/7, except during planned maintenance downtime.
Support is provided according to the plan you selected (e.g. email support for standard plans, dedicated account manager for enterprise plans).
8. Confidentiality
Both parties agree to protect confidential information — including technical designs, pricing, and business strategies — with the same degree of care each uses to protect its own confidential information, but no less than reasonable care. Neither party will disclose confidential information except as necessary to perform the Services or as required by law.
9. Warranties & Disclaimers
The Services and SDK are provided "as is" and "as available." SignalSeal disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
SignalSeal does not guarantee that the Services will be error-free or that attribution data will be 100% accurate. Attribution relies on third-party signals (ads, referrers, device IDs, subscription webhooks) that are subject to change, blocking, or degradation by platform holders such as Apple and Google.
10. Limitation of Liability
In no event shall SignalSeal be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
SignalSeal's total aggregate liability arising out of or related to this Agreement shall not exceed the total amount paid by you to SignalSeal in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless SignalSeal, its officers, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising out of: (i) your violation of this Agreement; (ii) your violation of any third-party right or privacy law; or (iii) the content of your Mobile Application.
12. Term & Termination
This Agreement commences on the date you accept it and continues until terminated.
You may terminate this Agreement at any time by cancelling your subscription. SignalSeal may terminate or suspend your account if you breach this Agreement or for non-payment.
Upon termination, your license to use the SDK ends. You must remove the SDK from your Apps and cease using the Services. SignalSeal will delete your Client Data in accordance with our retention policy.
13. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
Any dispute arising under this Agreement shall be resolved by binding arbitration in Delaware, conducted in English.
14. General Provisions
- This Agreement supersedes all prior agreements regarding its subject matter.
- If any provision becomes invalid, the remaining provisions stay in effect.
- Failure to enforce any right does not constitute a waiver of that right.
